THEORETICAL APPROACHES TO DEFINING THE CONCEPTS OF “MERGING” AND “ABSORPTION”

author

D. A. BUYVOLOV

abstract

The goal of any company is to maximize profits. To maximize profits, the company spends all its resources, but there comes a time when the company cannot further develop only at the expense of its resources and it has to look for growth drivers outside the company itself. In such a situation, the company considers other companies as acquisition targets. Despite the fact that the concept of “the market of mergers and acquisitions” and its English version “Merger & Acquisition” have existed for a long time, there are currently no precise definitions of these concepts in the scientific literature. The objectives of this article are to systematize and compare approaches to the definition of the concepts of "merger" and "acquisition", as well as the formulation of the most accurate definitions for these concepts.

An approach is proposed for a comparative assessment of changes in the level of economic security of Russia and the SCO member states, implemented within the framework of economic patronage by the governments and central banks of these countries. The proposed approach to a comparative assessment of changes in the level of economic security of Russia and other SCO member states allows us to identify the priorities of the economic policy of the country's leadership in modern conditions. It was concluded that the level of economic security of Russia can be represented in the form of factors characterizing the security of its national economy, implemented within the economic patronage of the Government and the Central Bank of the country.
